Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Arsinnovate LLC ("Arsinnovate," "we," "us," or "our"), including the Ars Flow platform and its vertical products: Ars Thalia (beauty, wellness, and aesthetic services), Ars Hygieia (medical and health services), and Ars Nereus (trades and field services) — collectively the "Services."

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Definitions

• "Subscriber" means a business or individual who creates an account to use the Services for managing their business operations
• "End Client" means a customer of a Subscriber who interacts with the Services (e.g., booking an appointment via SMS)
• "AI Assistant" means the artificial intelligence-powered communication tools provided through the Services, including SMS-based booking, answering, and client communication
• "Vertical" means a specific product line within the Ars Flow platform (Ars Thalia, Ars Hygieia, or Ars Nereus)
• "Content" means any text, data, information, images, or other materials uploaded, submitted, or transmitted through the Services

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms. The Services are intended for use by licensed professionals and legitimate businesses operating within their respective industries.

3. Account Registration and Security

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are inactive for an extended period.

4. Description of Services

Ars Flow Platform

Ars Flow is an AI-powered business management platform that provides answering, booking, and client communication tools to service businesses. The platform operates through SMS-first communication, where an AI Assistant handles client interactions on behalf of Subscribers.

Ars Thalia — Beauty, Wellness & Aesthetic

Ars Thalia provides AI-powered answering and booking for beauty, wellness, and aesthetic service providers including hair salons, barbershops, nail technicians, estheticians, massage therapists, tattoo artists, and related solo operators. Pricing for Ars Thalia begins at $49 per month for solo operators.

Ars Hygieia — Medical & Health Services

Ars Hygieia provides AI-powered communication tools for medical and health service providers. Ars Hygieia is designed to comply with HIPAA requirements and includes additional security controls. Subscribers using Ars Hygieia must execute a Business Associate Agreement (BAA) with Arsinnovate prior to processing any Protected Health Information (PHI).

Ars Nereus — Trades & Field Services

Ars Nereus provides AI-powered scheduling and communication for trades and field service businesses. Additional terms specific to Ars Nereus will be published when the service becomes available.

5. SMS and Messaging Terms

The Services include SMS-based communication between Subscribers, their End Clients, and our AI Assistant. By using these features, you agree to the following:

For Subscribers

• You are responsible for ensuring that your End Clients have provided proper consent to receive SMS messages before the AI Assistant contacts them
• You must maintain records of consent in compliance with the Telephone Consumer Protection Act (TCPA) and FCC regulations
• You must not use the Services to send spam, unsolicited messages, or messages unrelated to your business services
• Each vertical operates under a separate SMS campaign. You must obtain consent specific to each vertical you use

For End Clients

• By providing your phone number and opting in to SMS communications with a business on our platform, you consent to receive AI-powered text messages related to appointment scheduling, reminders, and service communications
• Message frequency varies based on your interactions with the business
• Reply STOP at any time to opt out. Reply HELP for support
• Message and data rates may apply
• Consent to receive messages from one business or vertical does not constitute consent for any other

6. AI-Powered Services Disclosure

The Services utilize artificial intelligence to power automated communications. You acknowledge and agree that:

• The AI Assistant operates on behalf of the Subscriber, not as an independent agent
• While the AI strives for accuracy, it may occasionally misunderstand requests or provide incorrect information. The Subscriber is ultimately responsible for the accuracy of their business information
• The AI Assistant will disclose its AI nature when directly asked by an End Client
• Subscribers may take over any AI conversation at any time ("Owner Takeover" feature)
• AI-generated responses are not legal, medical, or financial advice. Ars Hygieia AI interactions do not constitute medical consultations

7. Subscriber Obligations

As a Subscriber, you agree to:

• Provide accurate business information (services, pricing, hours, availability) and keep it current
• Maintain valid professional licenses required for your industry and jurisdiction
• Not use the Services for any illegal purpose or in violation of any applicable law or regulation
• Not attempt to reverse-engineer, decompile, or extract the AI models, system prompts, or proprietary algorithms underlying the Services
• Not share your account credentials or allow unauthorized individuals to access the Services through your account
• Comply with all applicable privacy laws regarding the personal data of your End Clients

8. Intellectual Property

The Services, including all software, AI models, system prompts, algorithms, designs, text, graphics, logos, and trademarks, are the exclusive property of Arsinnovate LLC and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

You retain ownership of the Content you upload to the Services. By uploading Content, you grant us a limited, non-exclusive license to use, process, and store that Content solely as necessary to provide and improve the Services.

9. Payment Terms

• Subscription fees are billed monthly in advance. All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice. Existing Subscribers will be notified via email before any price change takes effect
• If payment fails, we will attempt to collect for 7 days. If unsuccessful, your account may be suspended
• Add-on features are billed separately and may be added or removed at any time, effective at the next billing cycle
• Pilot program participants may receive modified pricing as outlined in their separate Pilot Participation Agreement

10. Termination

Either party may terminate the subscription at any time. Subscribers may cancel by contacting us at least 7 days before their next billing date. We may terminate or suspend your account immediately if you violate these Terms, fail to pay fees, or engage in conduct that is harmful to other users or the Services.

Upon termination, your right to use the Services ceases immediately. We will retain your data for 90 days after termination to allow for data export, after which it will be securely deleted (subject to legal retention requirements).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARSINNOVATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total aggregate liability for any claim arising from or related to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

We are not liable for missed appointments, booking errors, or business losses resulting from AI Assistant actions. Subscribers are responsible for monitoring AI interactions and correcting any errors in a timely manner.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Arsinnovate LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

14. Dispute Resolution

Any disputes arising from or related to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of North Carolina. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Services.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. For changes that materially affect your rights, we will provide at least 30 days' advance notice.

17. General Provisions

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
• Entire agreement: These Terms, together with the Privacy Policy and any applicable Pilot Participation Agreement or BAA, constitute the entire agreement between you and Arsinnovate regarding the Services
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction
